These Terms of Service ("Terms") govern your use of helprspace.com and any services provided by Helprspace ("we," "us," "our"). By using our website or engaging our services, you agree to these Terms. If you don't agree, please don't use our website or services.

Acceptance of terms

By visiting our website, submitting our contact form, booking a discovery call, or engaging us for paid services, you agree to be bound by these Terms and our Privacy Policy.

If you're agreeing on behalf of a company or organization, you confirm that you have the authority to bind that entity to these Terms.

Our services

Helprspace provides website design and related services, primarily on the Squarespace platform. Our services may include:

  • Custom Squarespace website design and development
  • Brand identity and visual design
  • On-page SEO setup
  • Email marketing and form integrations
  • E-commerce setup
  • Ongoing care plans and maintenance
  • Other related digital services as agreed

The specific services for your project will be defined in a written proposal or scope document agreed by both parties.

Quotes & proposals

After your discovery call, you'll receive a written proposal outlining: scope of work, deliverables, timeline, pricing, and payment terms.

Proposal validity: All proposals are valid for 14 days from the date sent unless otherwise stated. After that, pricing and availability may change.

A proposal becomes a binding agreement once you accept it in writing (email confirmation is sufficient) and the initial deposit is paid.

Payment terms

Our standard payment structure is:

  • 40% deposit due before work begins (this secures your project slot)
  • 60% final payment due upon project completion, before final delivery and domain handover

Accepted payment methods: PayPal, Wise, or bank transfer (specific methods vary by region).

Currency: All prices are in US Dollars (USD) unless otherwise specified.

Late payments: Final payment is due within 7 days of project completion notification. Projects unpaid after 14 days may incur a 5% late fee and work may be paused until payment is received.

Recurring services (like care plans) are billed monthly in advance. You can cancel anytime with 30 days' notice.

Project timeline

Project timelines are based on our standard delivery times:

  • Launchpad: 5 business days
  • Growth: 7 business days
  • Premium: 10 business days

Timeline starts when we receive: (a) your signed agreement, (b) the 40% deposit, and (c) all required content via our onboarding questionnaire.

Timeline delays: If you don't provide content, feedback, or approvals within agreed timeframes, the project timeline extends accordingly. We're not responsible for delays caused by missing or late client materials.

The 5-day promise: Our delivery commitment assumes timely cooperation from you. We hit it consistently — but it requires a partnership.

Revisions & scope

Unlimited revisions are included within your agreed revision period (3–7 days depending on package), within the agreed project scope.

What's "in scope": changes to design, layout, copy, colors, fonts, images, and other elements within the pages we agreed on at the start.

What's "out of scope":

  • Adding pages beyond the agreed page count
  • Switching to a different platform mid-project
  • Major brand pivots after initial direction approval
  • Adding integrations or features not in the original proposal
  • Revisions requested after the revision period ends

Out-of-scope work will be quoted separately as an add-on. We'll always confirm the cost before proceeding.

Approval lock: Once you give final written approval and the site is launched, further changes are billed at our standard rates or covered by a care plan.

Client responsibilities

To deliver great work on time, we need you to:

  • Provide content (copy, images, brand assets) within 3 days of paying the deposit
  • Respond to questions and approval requests promptly
  • Provide accurate information and honest feedback
  • Have rights to all content you provide (text, images, logos)
  • Pay invoices on time
  • Maintain access to your domain registrar and required accounts
  • Communicate respectfully

Content ownership: You confirm that you own or have permission to use any content you give us. We're not responsible for copyright issues arising from content you provide.

Intellectual property

Your content stays yours. All text, images, logos, and assets you provide remain your property.

Final design ownership: Upon receipt of final payment, you own all rights to the final website design and content created specifically for you. You can modify, transfer, or use it however you like.

What we retain:

  • Generic design elements, code snippets, and techniques that aren't unique to your project
  • The right to display your finished site in our portfolio and case studies (with a link back to your site)
  • The right to mention you as a client in marketing materials

If you'd prefer we not use your project publicly, just let us know in writing during onboarding and we'll respect that.

Third-party assets: Stock photos, fonts, plugins, or other third-party assets are licensed under their respective terms. You're responsible for maintaining valid licenses after handover (most we use are royalty-free or have lifetime licenses).

Confidentiality

We treat all information shared during the engagement as confidential. We won't disclose your business strategies, financial details, customer lists, or proprietary information to third parties without your written consent.

This obligation continues after the project ends. We'll sign a separate NDA on request before sharing sensitive information.

Exceptions: We may disclose information when required by law or to protect our legal rights.

Warranties & liability

30-day bug-fix guarantee: If we built it and it breaks within 30 days of launch through no fault of yours, we fix it free of charge.

What we don't warrant:

  • Specific business outcomes (sales, leads, traffic, search rankings)
  • That the website will be error-free in all browsers, devices, and conditions
  • Compatibility with third-party tools beyond what we explicitly integrate
  • Squarespace platform changes, outages, or pricing changes

Limitation of liability: Our total liability for any claim related to our services is limited to the amount you paid us for the specific project. We're not liable for indirect, consequential, or punitive damages — including lost profits, data loss, or business interruption.

Plain English: We'll do excellent work and stand behind it. But we can't guarantee specific business outcomes, and our financial responsibility is capped at what you paid us.

Cancellation & refunds

Before work begins: If you cancel before we start designing, we'll refund your deposit minus a $100 administrative fee.

After work begins: Deposits are non-refundable once design work has started, as time and resources have been committed. However:

  • If you cancel within the first 24 hours of work starting, we'll refund 50% of the deposit
  • If we're at fault for not delivering as agreed and we can't resolve it through revisions, we'll discuss a partial or full refund in good faith

Care plans: Monthly care plans can be cancelled anytime with 30 days' notice. No refunds for partial months.

If we cancel: In rare cases where we determine we're not the right fit (e.g. major scope disagreement), we'll return any unused deposit funds proportional to work completed.

Disputes & governing law

First, let's talk. If anything goes sideways, email helprspaceofficial@gmail.com with the subject "Dispute" and we'll work in good faith to resolve it within 14 days.

If informal resolution doesn't work, these Terms are governed by the laws of Bangladesh (where Helprspace operates), without regard to conflict of law principles.

For international clients, disputes will first be addressed through good-faith negotiation and, if needed, online mediation services like Modria or similar. Either party may pursue formal legal action only after exhausting these steps.

Changes to these terms & contact

We may update these Terms occasionally. The "Last updated" date at the top of this page shows when. For active client projects, material changes won't apply retroactively — your project is governed by the Terms in effect when you signed on.
